Matt Murphy, Marvell Technology's Chairman and CEO, announced the acquisition of Lumentum during the Marvell Technology Investor Day in New York City on October 6, 2026. The deal, valued at $115 billion, marks the largest merger between two publicly traded companies.

Murphy emphasized the strategic importance of the merger, stating, 'AI connectivity is going to be as consequential as the compute, memory, fab, and IP licensing categories.' He highlighted the unique opportunity to combine Marvell's semiconductor expertise with Lumentum's photonics leadership.

Both companies are headquartered in Northern California and have received 'tremendous support' from hyperscalers, according to Murphy. Nvidia, an AI chip giant, is a strategic investor in both companies and has given 'super positive' feedback on the deal.

The merger aims to create a category leader in AI connectivity by uniting Marvell's semiconductor design capabilities with Lumentum's data-center optics expertise. This combination is expected to address the growing connectivity demands of next-generation AI infrastructure.

Under the terms of the all-stock agreement, Lumentum shareholders will receive 4.5 shares of Marvell common stock for each share held. The deal is expected to generate significant revenue synergies and other benefits.

Lumentum's product pages showcase PAM4 optical DSPs and optical modules, and the company has demonstrated a photonic fabric memory module that links up to 16 GPUs over light. This technology points to Lumentum's focus on optics closer to compute rather than just between buildings.

Despite the aggressive pullback in AI stocks last week, Marvell believes the investment is still warranted. The company expects to outperform as a combined entity, with both companies executing phenomenally well together.

The deal has garnered positive feedback from industry leaders, including Nvidia CEO Jensen Huang, who has expressed support for the merger.

Marvell shares slid more than 1% and Lumentum fell almost 3% after the announcement of the all-stock deal, reflecting investor sentiment.

The merger is expected to create a new standard in AI connectivity, with the companies aiming to define the transition to optical connectivity in AI infrastructure.
